Terms and Conditions

These Terms and Conditions govern your access to and use of Prime Vitality Care's website, services, products, telehealth tools, memberships, and communications, including SMS messaging where applicable.

Introduction

These Terms and Conditions ("Terms") govern your access to and use of all services, products, memberships, digital tools, telehealth services, and information provided by Prime Vitality LLC dba Prime Vitality Care ("Prime Vitality Care," "we," "our," or "us").

By accessing our website, scheduling an appointment, purchasing a product, enrolling in a membership, opting into text messaging, or using any of our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please discontinue use of our services and website.

Eligibility

Our services are generally intended for individuals age 18 and older. By using our services, you represent and warrant that you are at least 18 years of age or have the consent of a parent or legal guardian where legally permitted.

We reserve the right to refuse service, suspend access, or terminate accounts if eligibility requirements are not met or if we determine that use of the services would violate law, policy, or professional standards.

Services Provided

Prime Vitality Care provides wellness, health, aesthetic, telehealth, functional medicine, hormone optimization, membership, and related services as described on our website and in our clinic. Services are delivered by qualified professionals and may change over time.

We strive to provide accurate and timely information, but we do not guarantee that all content, service descriptions, treatment options, pricing, or availability will always be complete, current, or suitable for every individual.

Treatment recommendations, products, protocols, or program eligibility may vary based on medical history, clinical findings, state licensure limitations, and provider discretion.

Appointments & Cancellations

  • Appointments may be scheduled by phone, email, online booking, or through approved patient systems.
  • A minimum of 24 hours' notice is generally required for cancellations or rescheduling. Failure to provide adequate notice may result in a cancellation fee.
  • No-shows may be subject to additional fees or refusal of future services.
  • We reserve the right to reschedule or cancel appointments due to provider availability, licensure restrictions, safety concerns, or unforeseen circumstances.

Payments & Fees

  • All fees for services are due at the time of service unless otherwise agreed in writing in advance.
  • Accepted payment methods may include major credit cards, debit cards, HSA/FSA cards where applicable, financing partners, and other methods listed on our website or communicated by staff.
  • Most services are offered on a concierge cash-pay model, though some patients may use HSA/FSA funds or request superbills for possible reimbursement.
  • Outstanding balances may result in suspension of future services, products, memberships, refill requests, or follow-up scheduling until payment is received.

Prices, package fees, medication costs, and membership pricing are subject to change. When possible, changes will be communicated in advance.

Refund Policy

Refunds for services, products, memberships, consultation fees, initiation fees, and digital programs are granted only at the sole discretion of Prime Vitality Care, unless otherwise required by law.

If you are dissatisfied with a service, you should contact us promptly so we can review the matter. Requests for review should generally be made within 7 days of the service or transaction in question.

Important:

Initiation fees, onboarding fees, and medical services already rendered may be non-refundable because they cover provider time, intake, care planning, and onboarding services already performed.

Membership Terms

Memberships may include concierge, functional medicine, IV therapy, hormone, aesthetics, weight loss, or other programs that renew according to the plan selected. Membership terms, minimum commitments, pricing, inclusions, and cancellation windows may vary by program.

  • Certain concierge and functional medicine memberships require a minimum commitment period before cancellation.
  • Some IV and other program memberships require a 3-month minimum commitment and unused sessions may not roll over.
  • Memberships may automatically renew monthly after the minimum term unless canceled in accordance with the applicable notice period, such as 30 days' advance notice.
  • Early cancellation may result in forfeiture of initiation credit, promotional pricing, or unused bundled benefits.

Membership covers physician access, care coordination, and program benefits as described in the specific membership agreement. Membership does not guarantee coverage by insurance and does not replace emergency care.

The information, products, and services provided by Prime Vitality Care are not intended to replace professional medical advice, diagnosis, or treatment.

Always seek the advice of your physician or another qualified healthcare provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of something you read on our website, in our emails, in text messages, or through our digital tools.

Emergency Disclaimer

Prime Vitality Care does not provide emergency medical services. If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.

Privacy, Confidentiality & HIPAA

We are committed to maintaining the privacy and confidentiality of your personal information in accordance with applicable law, including HIPAA where relevant.

Personal information collected during your engagement with Prime Vitality Care is used to provide services, support operations, process payments, improve digital experiences, and comply with legal obligations as described in our Privacy Policy.

Your use of our services is also subject to our Privacy Policy and HIPAA Notice of Privacy Practices, both of which are incorporated into these Terms by reference.

SMS Terms & Mobile Messaging

By providing your mobile phone number and opting in, you agree to receive text messages from Prime Vitality Care related to your care, appointments, billing, account activity, service updates, wellness communications, and other messages consistent with the consent you provided.

SMS Disclosure: Message frequency may vary. Message and data rates may apply. Reply STOP to opt out and HELP for assistance. Consent to receive text messages is not a condition of purchase or treatment.
  • You are responsible for providing an accurate mobile number and updating us if your number changes.
  • Wireless carriers are not liable for delayed or undelivered messages. Delivery may depend on your carrier and device settings.
  • Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes, and text messaging originator opt-in data and consent will not be shared except as necessary to deliver the messaging service or comply with law.
  • We may maintain records of opt-in and opt-out activity to document your consent and comply with legal and carrier requirements.

Website Use & Intellectual Property

All content, materials, trademarks, logos, service marks, graphics, website copy, treatment descriptions, videos, downloads, and other intellectual property displayed or provided by Prime Vitality Care are owned by Prime Vitality LLC or used under license, and are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, republish, create derivative works from, transmit, display, or otherwise use our content without prior written consent, except for personal, non-commercial use that does not remove proprietary notices.

User Conduct

You agree to use our services, systems, communications, and website for lawful purposes only.

  • Harassment, abuse, threats, or disruptive behavior toward staff or other patients may result in refusal or termination of services.
  • Providing false information, impersonating another person, or misusing prescriptions, memberships, or portal access is strictly prohibited.
  • You may not attempt to interfere with the functionality, security, or availability of our website, payment systems, booking tools, or telehealth platforms.

Our website, emails, or communications may contain links to third-party websites, booking systems, pharmacies, labs, vendors, educational resources, or payment processors. Limitation of Liability & Indemnification

To the fullest extent permitted by law, Prime Vitality Care shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of our website, communications, or services, except where liability cannot be excluded by law.

In no event shall our total liability exceed the amount paid by you for the specific services at issue, to the extent permitted by law.

You agree to indemnify and hold harmless Prime Vitality Care, its affiliates, officers, employees, contractors, and agents from and against claims, liabilities, damages, losses, and expenses arising out of your misuse of our services, your violation of these Terms, or your violation of the rights of another party.

Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction and venue of the state or federal courts located in or serving Bexar County, Texas.

Changes to These Terms

We may modify or update these Terms at any time. Any changes will be posted on our website with an updated effective date. Continued use of our services, website, memberships, or messaging programs after changes are posted constitutes acceptance of the revised Terms.
